The conventional framing of AI governance treats it as a risk management question: identify the risks, assign monitoring responsibilities, report upward. This framing misses the structural problem entirely. When a board approves an AI deployment, it is not simply authorizing a technology investment. It is establishing a new class of decision-making authority that operates outside the governance chain designed to hold it accountable.
